Corporate Social Responsibility

At Nextgen Clearing, we are committed to operating our business in a socially responsible way. We go above and beyond what is compulsory and set our own targets for how we approach the environmental and ecological profile of the business, charitable activities, human resource management and corporate strategy. Nextgen Clearing supports the Ten Principles of the United Nations Global Compact on human rights, labour, the environment and anti-corruption. We implement those principles and are committed to making the UN Global Compact and its principles part of the strategy, culture and day-to-day operations of our company. In addition, we intend to engage in collaborative projects which advance the broader development goals of the United Nations, particularly the Sustainable Development Goals. Nextgen Clearing is proud to qualify for the GC Active level (United Nations Global Compact) - The world's largest corporate sustainability initiative. Environment

We are dedicated to the principles of sustainable development, and align the conduct of our companies, staff and suppliers to industry-wide best practices. We work to continuously improve our environmental performance, so that we can reduce the environmental impact of our activities. Our main activities are office and technology-based, so our environmental impact is light overall. Within our operations, we promote the most efficient use of energy and natural resources. We have successfully implemented a waste recycling programme which aims to avoid, reduce and recycle waste materials as efficiently as possible, subject to independent third-party audits and quality control.

Giving Back

As a company, we make annual contributions to charities. These activities engage and motivate our colleagues, who then inspire each other to give back to the countries and societies in which we work. In 2018, we donate to the following charitable organizations: Salvation Army, Lullaby Trust, Mumbai Mobile Creches (Day care Centre for Construction sites labour children) In addition, we are proud to see our employees take on independent initiatives to give back to society. E.g. Swimathon – Marie Curie and Cancer Research.

Diversity

At the end of 2017, Nextgen Clearing employed 197 employees around the world. This breaks down to 50 in our UK headquarters, 22 in the rest of Europe, 8 in the APAC region, and 117 in the rest of the world. Our employee population comprises of 36% women and 63% men. We are a truly international company represented by 22 different nationalities. Our leadership team consists of 5 different nationalities at the executive level. The top nationalities by percentage of employees are Indian 47.7%, British 17.6% and 36.7% others.

Sustainability

To reduce Nextgen Clearing's CO2 footprint, we significantly reduce our international travel requirements using extensive unified communications; video, web and audio conferencing services can be accessed by all our employees at their desktops. We commit to actively utilising recycled office materials across our business administration with yearly productivity enhancements in the reduction of our carbon emissions across our Data Centre Operations.

Modern Slavery Statement

Nextgen Clearing Ltd, is a privately held Mobile Financial and Data Clearing services company. We operate a cloud based clearing platform, and our network extends from Europe to North America, the Middle East and Africa. Nextgen Clearing has nearly 200 employees globally and has offices in over 10 countries worldwide. At Nextgen Clearing we strive to maintain the highest standard of ethical principles and to respect human rights, both within our organization and by encouraging high standards in our supply chain. To this end, all our employees sign up to our Code of Conduct and Work Ethics Policy when they join the company. As part of our Code of Conduct and Work Ethics Policy, we operate a confidential whistle-blower hotline to encourage disclosure of unlawful or unethical behaviour in a confidential environment free from fear of retaliation. All our employees are made aware of our whistle-blower hotline, which they can call to report any form of human rights violation. We continually monitor the implementation and adequacy of our Code of Conduct and Work Ethics Policy, and periodically report on the results of this process to our Audit and Risks Committee, which in turn will make an independent assessment of the adequacy of the policy and disclose any material non- compliance in our annual report to shareholders. We have a zero-tolerance approach to slavery in any form, and are committed to continuing to build on our practices to combat slavery and human trafficking. Although we believe that due to the nature of what we do, the risk of slavery in our supply chain is relatively low compared with other industries, we are not complacent about this risk and remain alert to the fact that we have suppliers in geographical areas carrying out work for us that could be susceptible to the exploitation of people.

Anti-Corruption

Nextgen Clearing's commitment to the Tenth Principle is expressed in our Code of Conduct and Work Ethics Policy, which states: "Nextgen Clearing is committed to ensure that its business is conducted, in all respects and at all times, according to rigorous ethical, professional and legal standards, which prevail in the industrial sector in which Company conducts its normal business. We are committed to ensuring that our workplace, at all of our working locations is free from harassment and discrimination, where co-workers are respected, and provided an appropriate environment so as to encourage good performance and conduct. We elaborate on this statement in our Anti-Bribery and Anti-Corruption Policy, which makes specific reference to the UK Bribery Act and the US Foreign Corrupt Practices Act (FCPA). At the same time, it affirms Nextgen Clearing's commitment to abide by all national laws relating to bribery and corruption in the jurisdictions in which we operate. The policy covers: bribes and kickbacks; facilitation payments; public officials; gifts, hospitality and expenses; personal conflicts of interest; charitable donations; political activities; business relationships; and audits and accounts. Other related policies and procedures address subcontractor management and whistleblowing. In our standard Terms and Conditions for all client engagements, Nextgen Clearing agrees and warrants that it will not engage in any activity that would constitute an offence against national or international anti-bribery laws, and that it will maintain appropriate policies procedures and training to prevent acts of bribery.
